The law firm MDA has assisted a company operating in the province of Lecco, specialized in wet wipes, and affiliated to an important manufacturing firm in the field of wet wipes, in its acquisition of a Cekia company active in the same sector, with a consolidated presence in the markets of east and north-central Europe.
Finlife, a corporate finance company in Padua, acted as financial advisor to the group. In the preliminary assessment and analysis phase, negotiation, structuring, due diligence and contractual arrangements, the Italian company was supported by MDA’s experience in defining the legal and contractual aspects of large-scale acquisition operations. The operation was followed by lawyers Alessio Vianello (senior partner) and Michela Mariani (associate).
The acquisition has crucial strategic importance for the Italian group, enabling it not only to increase its production capacity but also to penetrate large-scale markets in central-north Europe, particularly Germany, and to generate significant production synergies.
The agreement foresees the initial acquisition of a minority stake in Wet Wipes International by the Italian company, which will progressively increase to the total control by the exercise of put / call options.
